904Web Independent Partner Agreement

1. Independent Relationship

You are participating as an independent 904Web Partner. Nothing in this Agreement creates an employment relationship, partnership, joint venture, franchise, fiduciary relationship, or authority to bind 904Web. You control your own schedule, methods, and business expenses, subject to law, this Agreement, and 904Web brand/compliance rules. You are responsible for your own taxes, licenses, permits, insurance, and business obligations that apply to you.

2. Partner Role

Your role is to identify businesses that may benefit from website modernization, make professional introductions, gather owner requirements, present private concepts prepared by 904Web, and help communicate customer feedback. Unless 904Web separately authorizes you in writing, you may not build or modify production infrastructure, access 904Web hosting administration, collect customer passwords, sign contracts for 904Web, quote unapproved pricing, or promise services or results on behalf of 904Web.

3. Required Disclosure and Truthful Marketing

When recommending 904Web or presenting a 904Web concept, clearly disclose that you are an independent 904Web Partner and may earn compensation if the business becomes a qualified 904Web customer. Do not make false, misleading, unsubstantiated, or deceptive claims about 904Web, a prospect, expected revenue, search rankings, savings, performance, licensing, endorsements, or guaranteed results. Do not represent a private concept as the prospect's current or official website.

4. Prospecting and Communications

Use lawful, professional outreach. Respect do-not-contact requests and suppression records. Do not use scraping, bulk messaging, robocalls, prerecorded messages, auto-dialing, purchased lists, or other mass outreach methods unless 904Web has expressly approved the workflow and it complies with applicable consent, telemarketing, privacy, email, and text-message laws. Repeated outreach must stop when a prospect asks you to stop.

5. Prospect and Customer Data

Use only the minimum information needed for legitimate Partner activity. Do not collect passwords, payment-card data, Social Security numbers, health information, or other highly sensitive data through the Partner Portal. Prospect and customer information provided through the 904Web platform may be used only for the 904Web opportunity or customer relationship to which it relates. You may not sell, export, misuse, or disclose that information to another company or for an unrelated purpose.

6. Private Concepts and Customer Feedback

Private previews are concepts for review and remain subject to 904Web controls. Prospects may leave page-, section-, or element-specific feedback through the private review workspace. You may view feedback for prospects assigned to you and add clarification for 904Web, but you may not alter internal 904Web notes or obtain administrative hosting credentials. 904Web may preserve review history, approvals, revisions, and audit records.

7. Attribution and Compensation

Compensation is governed by the compensation plan shown in your Partner Portal and any approved written addendum. A referral or prospect is not automatically commissionable. Qualification may depend on valid attribution, customer payment, required hold periods, refunds, disputes, cancellations, fraud review, chargebacks, and other plan rules. Earnings are not guaranteed. 904Web may correct errors, reverse amounts that never qualified, and update prospective compensation terms with notice. Amounts already earned under an applicable plan are handled under that plan and applicable law.

8. Optional Market Programs and Fees

If you are separately approved for a Local Market Partner or Market Operator program, any market assignment, local-domain use, monthly platform fee, waiver, or additional compensation will be shown in your Partner Portal or a written addendum. No fee applies merely because you accepted this general Agreement unless the applicable plan expressly states the fee and you agree to it.

9. Brand and Intellectual Property

904Web and its logos, software, portal, preview technology, training, templates, and related intellectual property remain owned by 904Web or its licensors. During an active approved Partner relationship, you receive a limited, revocable, non-exclusive, non-transferable license to use approved 904Web Partner branding solely for authorized Partner activities. Do not register confusingly similar marks, impersonate 904Web corporate staff, or modify legal/compliance disclosures.

10. Confidentiality and Security

Protect non-public 904Web, prospect, and customer information. Use strong account security and do not share Partner credentials. Promptly report suspected account compromise, unauthorized disclosure, or misuse. Access to the Partner Portal may be suspended to protect customers, prospects, the platform, or 904Web.

11. Customer Relationship and Fulfillment

904Web controls its production workflow, pricing, hosting, domain-launch process, customer portal, support, billing, platform access, and technical fulfillment. Partners do not receive Bluehost or WordPress administrator access unless 904Web separately grants specific access in writing. A customer who signs up may continue to be attributed to you while 904Web remains responsible for fulfillment and platform operations.

12. Taxes and Expenses

You are responsible for your own ordinary business expenses and tax obligations. If required by law, 904Web may request tax documentation and report nonemployee compensation to tax authorities. The written label used by the parties does not override worker-classification law; the actual relationship and degree of control govern.

13. Suspension and Termination

Either party may end the Partner relationship. 904Web may immediately suspend or terminate access for fraud, deception, harassment, unauthorized system access, misuse of customer data, material breach, unlawful outreach, brand misuse, security risk, or conduct that may harm customers or 904Web. Termination does not erase valid audit, attribution, payment, agreement, or compliance records. Treatment of pending commissions is governed by the applicable compensation plan and law.

14. Disclaimers and Limitation

The Partner Portal, private-preview tools, training materials, and related services are provided subject to availability and may change. To the maximum extent permitted by law, 904Web does not promise a particular number of leads, conversions, customers, commissions, market opportunities, website performance results, or uninterrupted platform availability. Nothing in this Agreement waives rights that cannot legally be waived.

15. Indemnification

To the extent permitted by law, you agree to be responsible for claims, losses, or expenses arising from your unlawful outreach, false or unauthorized representations, misuse of data, infringement, or material breach of this Agreement. 904Web remains responsible for its own acts and obligations to the extent required by law.

16. Governing Law; Changes

This Agreement is governed by applicable federal law and the laws of the State of Florida, without regard to conflict-of-law rules, except where another law must apply. 904Web may update this Agreement prospectively. Material updates may require a new electronic acceptance before continued Partner use.

17. Electronic Records and Signature

You agree to conduct this Partner transaction electronically. By checking the acceptance boxes and typing your full legal name, you intend that action to serve as your electronic signature. You may download and retain a copy. 904Web will retain an electronic record of the accepted version, timestamp, signature name, integrity hash, and related audit data, and will email a copy to the email address associated with your Partner account.

18. Entire Agreement; Severability

This Agreement, the compensation plan displayed in your Partner Portal, and any signed written addendum form the agreement governing your Partner participation. If a provision is unenforceable, the remaining provisions continue to the extent permitted by law. A waiver of one breach is not a waiver of another.
